Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Novus Forge website at novus-forge.com and the Novus Forge AI governance platform and related services (collectively, the "Services"), operated by Novus Forge ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into binding contracts on behalf of yourself or your organization. By using the Services, you represent and warrant that you meet these requirements. The Services are intended for business use. Use by consumers for personal or household purposes is not the intended scope of these Terms.
2. Description of Services
Novus Forge provides AI agent governance and orchestration software, including:
- The Novus Forge platform (Axis, Koda, Codex, Syllabus components)
- The General Orchestrator pipeline for multi-agent workflow governance
- The Shadow Mode Audit service, in which we analyze prospect log data and deliver a governance report
- Documentation, APIs, and developer tooling
- This marketing website and related informational content
Access to the platform is provided under separate enterprise agreements. These Terms govern use of this website and any pre-sales services such as Shadow Mode Audits.
3. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable regulations
- Attempt to gain unauthorized access to any part of the Services or our systems
- Reverse engineer, decompile, or disassemble any software component of the platform
- Transmit malware, viruses, or any code designed to disrupt or damage systems
- Use the Services to process data you do not have the right to process
- Misrepresent your identity, affiliation, or the purpose of any data submission
- Attempt to interfere with the availability or performance of the Services
- Use the Services in any way that violates the privacy or intellectual property rights of others
4. Shadow Mode Audit Terms
When you request a Shadow Mode Audit, the following additional terms apply:
Data Submission
You represent that you have the right to submit the log data you provide, that it has been appropriately anonymized or that you hold the necessary rights and consents for its processing, and that its submission does not violate any applicable law or third-party obligation.
Confidentiality
We treat all submitted log data as confidential. We will not disclose it to third parties except as required by law. We will delete submitted data within 30 days of report delivery unless a longer period is agreed in a separate written agreement.
Report Ownership
The governance report we deliver is yours. You may share it internally without restriction. Attribution to Novus Forge in any external publication or marketing use requires our prior written consent.
No Guarantee of Results
Shadow Mode reports reflect universal governance standards applied to the submitted sample. Results are indicative, not exhaustive. They do not constitute a security audit, legal opinion, or compliance certification.
5. Intellectual Property
All content on this website, including text, graphics, logos, software descriptions, and documentation, is owned by or licensed to Novus Forge and is protected by applicable intellectual property laws.
You may view and print pages from this website for personal, non-commercial reference. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from this website for commercial purposes without our prior written consent.
6. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
To the fullest extent permitted by law, Novus Forge disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, completeness, or reliability of any content or report
- Warranties that defects will be corrected
Shadow Mode Audit reports are analytical outputs based on pattern matching against submitted data samples. They are not legal advice, security certifications, or compliance opinions. You should consult qualified legal and compliance professionals before making decisions based on any report we deliver.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NOVUS FORGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
This includes but is not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages. Our aggregate liability to you for any claims arising from these Terms or the Services shall not exceed the greater of $100 USD or the amounts paid by you to us in the three months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Novus Forge and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property rights or privacy rights; or (d) any data you submit to us, including Shadow Mode log data.
9. Third-Party Links
Our website may contain links to third-party websites. These links are provided for convenience only. We do not endorse, control, or assume responsibility for the content or practices of any third-party site. Your use of third-party sites is at your own risk and subject to the terms of those sites.
10. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising from these Terms or the Services that cannot be resolved informally shall be submitted to binding arbitration administered by a mutually agreed arbitration body, conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the effective date and, where appropriate, providing additional notice. Your continued use of the Services after any modification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, discontinue use of the Services.
